SK hynix's 40 Trillion Share Buyback and Cancellation: What 2,407 Million Shares, 3.3%, and 'At Least 50% of FCF' Mean

SK hynix's 40 Trillion Share Buyback and Cancellation: What 24.07 Million Shares, 3.3%, and 'At Least 50% of FCF' Mean

At its 2026-08-19 board meeting, SK hynix decided to repurchase KRW 40,000,000,000,000 worth of its own shares and cancel all of them. Based on the previous day's closing price of KRW 1,662,000, the buyback represents approximately 2,407 million shares, or about 3.3% of all issued shares. Beyond the KRW 40,000,000,000,000 buyback itself, the more significant development is the expansion of the company's shareholder return policy for 2025–2027 beyond its previous framework.

The information was verified as of 2026-08-19 at 16:51 Korea Standard Time.

The KRW 40,000,000,000,000 Share Cancellation Has Not Yet Taken Place

This decision does not mean that KRW 40,000,000,000,000 worth of shares will be immediately eliminated in a single transaction. SK hynix announced that it plans to acquire treasury shares over approximately 3 months beginning August 20 and cancel all the acquired shares once the repurchase is complete.

The company's calculation is based on the closing share price of KRW 1,662,000 on August 18, the day before the board resolution. At that price, the planned acquisition amounts to approximately 2,407 million shares, representing about 3.3% of the 7 hundred million 3,049 ten thousand 2,365 shares outstanding at the time.

It is therefore important to distinguish three stages of the announcement.

August 19 board resolution → Treasury share acquisition beginning August 20 → Cancellation of all acquired shares after completion.

The phrase '40 trillion share cancellation' may create the impression that KRW 40,000,000,000,000 worth of shares have already disappeared. However, what has been confirmed as of August 19 is the finalized plan to acquire the shares and subsequently cancel all of them.

How Much Will Cancelling 2,407 Million Shares Change the Total Share Count?

The approximately 2,407 million shares announced by SK hynix represent about 3.3% of its currently issued shares.

The author's independent calculation also puts the proportion at approximately 3.295%.

The calculation is as follows.

2,407 million shares ÷ 7 hundred million 3,049 ten thousand 2,365 shares × 100 = approximately 3.30%

Assuming all the shares are cancelled, the total number of issued shares would decline to approximately 7 hundred million 642 ten thousand shares. Existing shareholders who retain the same number of shares would consequently own a relatively larger percentage of the company.

There is, however, an important distinction. Although the reduction in the share count can be calculated, the resulting increase in the share price or investment return cannot be determined in the same way. Share prices are influenced by multiple factors, including earnings, memory chip prices, capital expenditure, and market supply and demand.

The direct structural effect of this measure is not a guaranteed increase in the share price. Rather, it reduces the number of outstanding and tradable shares, increasing the relative ownership represented by each remaining share.

How Does the KRW 12,200,000,000,000.0 Cancellation Announced in January Differ From This KRW 40,000,000,000,000 Buyback?

This is not the first time SK hynix has announced a share cancellation in 2026.

When announcing its 2025 annual results on January 28, the company said it would cancel all 1,530 million treasury shares it already held. Based on the share price on January 27, those shares were valued at approximately KRW 12,200,000,000,000.0 and represented about 2.1% of total equity.

The August announcement is different in nature.

In January, the decision was to cancel 1,530 million treasury shares already held by the company. This time, the plan is to purchase approximately 2,407 million shares from the market for KRW 40,000,000,000,000 and subsequently cancel all of them.

A simple comparison of the monetary amounts shows that KRW 40,000,000,000,000 is approximately 3.28 times KRW 12,200,000,000,000.0.

Author's calculation:

KRW 40,000,000,000,000 ÷ KRW 12,200,000,000,000.0 = approximately 3.28 times

In terms of share count, 2,407 million shares is also approximately 57% more than the 1,530 million shares covered by the announcement in January.

Author's calculation:

2,407 million shares ÷ 1,530 million shares = approximately 1.57 times

Simply describing these announcements as 'two share cancellations this year' overlooks their fundamental differences. The January decision involved cancelling existing treasury shares, while the August measure combines a large-scale new share repurchase with subsequent cancellation.

The Bigger Change Is the Shift From 'Within 50% of FCF' to 'At Least 50%'

The next important figure after KRW 40,000,000,000,000 is 50%.

Under its previous shareholder return policy for 2025–2027, SK hynix had pursued shareholder returns within 50% of cumulative free cash flow, or FCF, over 3 years. FCF refers to the cash remaining after deducting capital expenditure and other investment-related cash outflows from cash generated by business operations.

In its August 19 announcement, the company outlined a plan to expand shareholder returns from 'within 50%' to 'at least 50%' of cumulative FCF for 2025–2027.

This change is more significant than a simple revision in wording.

Under the previous policy, half of cumulative FCF served as a benchmark for determining shareholder return resources. The new announcement indicates that the company intends to pursue shareholder returns exceeding that benchmark as well.

The company also made clear that shareholder returns would not be limited to share repurchases. SK hynix said it would combine treasury share acquisitions and cancellations with cash dividends. It is also considering ways to increase dividends, including special dividends in addition to its existing fixed dividends.

However, the amount of additional shareholder returns had not been finalized as of August 19. The company plans to determine the specific amounts and implementation methods through board decisions after considering cash flow during the policy period, market conditions, and distributable profits.

Why Has SK hynix Expanded the Program to KRW 40,000,000,000,000 Now?

According to SK hynix, its official rationale is that the company's business competitiveness, cash-generating capacity, and medium- to long-term growth potential are not sufficiently reflected in its current share price.

The company also highlighted its financial capacity. Its disclosed net cash position at the end of the 2 quarter of 2026 was approximately KRW 69,000,000,000,000. Net cash generally refers to cash and cash equivalents minus borrowings and other financial debt, providing an indication of a company's available financial resources after accounting for its debt obligations.

However, it would be incorrect to simply subtract the planned KRW 40,000,000,000,000 share repurchase from KRW 69,000,000,000,000 in net cash and conclude that 'KRW 29,000,000,000,000 in net cash will remain after the buyback.' The repurchase will take place over approximately 3 months, during which operating cash flow, capital expenditure, dividends, and other financial activities will continue.

The company's emphasis in this announcement was not merely that it holds substantial cash reserves, but that it intends to expand shareholder returns while maintaining cash flow and financial soundness.

SK hynix stated that the KRW 40,000,000,000,000 program is the largest treasury share cancellation initiative among domestic listed companies.

The Next Key Event for Investors Is the 3 Quarter Earnings Announcement

The August 19 announcement does not mean that every detail of the shareholder return policy has been finalized.

What has already been confirmed is the plan to acquire and cancel KRW 40,000,000,000,000 worth of treasury shares, along with the company's intention to allocate at least 50% of cumulative FCF for 2025–2027 to shareholder returns.

However, the size of any additional share repurchases and the specific amounts and methods of increased dividends, including special dividends, have not yet been determined.

SK hynix announced that it plans to disclose the specific scale and implementation methods of additional shareholder returns at the time of its 3 quarter earnings announcement for 2026, following board approval.

Investors should therefore look beyond the headline figure of 'KRW 40,000,000,000,000' and monitor three developments.

How much of the planned treasury share acquisition is actually completed over approximately 3 months

When the cancellation schedule for the repurchased shares is finalized

What amounts are announced for additional dividends and shareholder returns during the 3 quarter earnings announcement

In particular, it is too early to assign numerical estimates to the second and third items because those details have not yet been announced.

Share Cancellations Do Not Guarantee a Higher Share Price

When a company repurchases and cancels its own shares, the number of issued shares declines, increasing existing shareholders' relative ownership stakes. Assuming the company's earnings remain unchanged, the reduction in share count may also mechanically improve per-share financial metrics.

However, the announcement of the KRW 40,000,000,000,000 share repurchase and cancellation does not establish what SK hynix's future share price or investment returns will be.

Going forward, investors should monitor the progress of the share repurchase alongside the performance of the memory business, including HBM, operating cash flow, capital expenditure, and dividend decisions.

The central message of the 2026-08-19 announcement is clear. SK hynix has decided to newly acquire and cancel KRW 40,000,000,000,000 worth of treasury shares, representing approximately 2,407 million shares or about 3.3% of all issued shares. It has also expanded its shareholder return framework for cumulative FCF over 2025–2027 from the previous 50% level to at least 50%.

The remaining question is not whether the company announced KRW 40,000,000,000,000, but how the KRW 40,000,000,000,000 repurchase will actually be completed and what level of additional shareholder returns will be specified at the 3 quarter earnings announcement.
